Anthropic is considering allocating about 15% to 20% of the shares in its planned initial public offering to retail investors, a proposal that remains under discussion and could change. JPMorgan Chase is slated to lead U.S. retail sales, a distribution role distinct from its place in the IPO’s underwriting lineup.

JPMorgan Chase CEO Jamie Dimon is expected to take part in the bank’s presentations to retail investors. Citigroup is coordinating retail distribution in Australia, Canada, Japan, the United Kingdom, Switzerland and some countries in the European Economic Area (EEA). The proposed U.S. and international roles cover several markets, but the share allocation has not been finalized.

Anthropic filed its S-1 publicly on Oct. 26. The filing describes plans to offer Class A common stock to nonprofessional investors in some EEA countries through a separate prospectus. Switzerland’s public offer uses the same prospectus approved by Germany’s Federal Financial Supervisory Authority (BaFin). Australia’s offer is set to use a separate prospectus submitted to the Australian Securities and Investments Commission (ASIC).

The filing does not state a retail allocation percentage, total share count or offering price. Goldman Sachs and Morgan Stanley are named as underwriting representatives, with JPMorgan and Citigroup third and fourth on the underwriter list. Those positions describe the underwriting lineup; the proposed retail distribution assignments are separate details.

Anthropic has not announced a roadshow schedule, price range or listing date. The public filing also connects with the company’s year-end revenue outlook, covered earlier as part of its IPO story.
