S4 Capital lowered its 2026 net revenue outlook after third-quarter net revenue fell 7.3% like-for-like to £156.3 million, as clients remained cautious and technology firms prioritized AI infrastructure spending over operating expenses.

The digital advertising and marketing services company now expects 2026 like-for-like net revenue to decline in the high single digits. That is marginally below its August outlook, which projected a mid-single-digit decline. Third-quarter net revenue fell 6.4% from a year earlier on a reported basis, from £167 million. S4 Capital defines net revenue as revenue less direct costs. Its like-for-like measure adjusts the prior-year comparison using the currency rates applied in 2026.

Marketing Services net revenue was £142.7 million, down 6.2% like-for-like. Technology Services net revenue fell 17.6% like-for-like to £13.6 million. For the nine months ended Sept. 30, net revenue totaled £464.3 million, down 5.6% like-for-like and 6.2% on a reported basis from £495.2 million a year earlier.

S4 Capital cited cautious technology clients directing more spending to AI infrastructure and less to operating expenses, as well as a reduced scope for BMW work and conflicts in the Middle East and Ukraine. Executive Chairman Sir Martin Sorrell said clients remained cautious and were prioritizing capital spending to expand AI capacity over operating spending.

The company kept its full-year operational EBITDA target at £85 million and raised its expected margin increase to at least 160 basis points, bringing the margin to 13.7%. S4 Capital defines operational EBITDA as a non-GAAP measure and describes the £85 million figure as a target, not a profit forecast.

Net debt stood at £76 million at Sept. 30, equal to 0.7 times pro forma trailing 12-month operational EBITDA, compared with £151.1 million a year earlier. The company maintained its year-end net debt target of £50 million to £80 million.

After Sept. 30, S4 Capital repurchased a further €50.9 million of its Term Loan B, with €10.5 million still subject to settlement. Including earlier repurchases, the company said the outstanding balance would fall to €198.8 million from €375 million.
