Amodei Holds Voting Proxies Over 4,621,120 Anthropic Shares
The agreements involve Daffy Charitable Fund and Dechomai Asset Trust. Anthropic’s seven founders have also pledged 80% of their personal equity to philanthropy.

Anthropic CEO Dario Amodei holds voting proxies over 4,621,120 shares through agreements with Daffy Charitable Fund and Dechomai Asset Trust, and the company’s seven founders have pledged 80% of their personal equity to philanthropy.
The founders’ 80% philanthropy pledges cover personal equity in Anthropic. The commitments are voluntary, revocable and nonbinding. They set no donation schedule or amount and name no recipients or giving structure. The founders may fulfill them over time through donor-advised funds, charitable organizations, private foundations or other vehicles.
In a January essay, Amodei described the commitment as a pledge of 80% of the founders’ “wealth.” He wrote that “wealthy individuals have an obligation to help solve this problem.” The later formulation specifies personal equity in Anthropic.
Amodei’s pre-offering beneficial ownership totals 240,637,980 Class A shares. That total includes 237,813,080 shares held by him or trusts he controls, 2,185,400 options exercisable within 60 days of Sept. 30, 2026, and 639,500 shares issuable upon settlement of restricted stock units if vesting conditions are met within that period.
The proxy agreements cover 4,621,120 shares. They exclude shares donated to the funds by Amodei, his family members or affiliates. Neither fund holds 5% or more of any class of Anthropic voting securities.
Anthropic warned that future donations and subsequent sales by recipients could put a significant number of shares into the market and depress its share price. The company identified the founders’ personal circumstances, tax and estate planning, market conditions and philanthropic priorities as factors that could affect donations.
The pledges do not cover Anthropic’s Class F stock or change the founders’ voting structure through Founder LLC. Their voting control through the LLC would remain unchanged as long as they meet a minimum ownership condition.
