Thrive Holdings agreed Thursday, Oct. 29, to acquire ADT in an all-cash transaction with about $15.3 billion in enterprise value, offering shareholders $10 a share to take the home security company private.

The agreement values ADT’s equity at about $7.6 billion. The $10 offer represents a 45.6% premium to ADT’s unaffected closing price of $6.87 on Oct. 27, and a 52.1% premium to its 30-day volume-weighted average share price through that date.

ADT shareholders must approve the transaction, which also requires U.S. antitrust clearance and other customary closing conditions. The agreement has no financing condition; funds managed by Apollo affiliates have provided financing commitments.

ADT may solicit third-party acquisition proposals during an initial 30-day go-shop period. It may extend the period by 10 days for certain parties that submit proposals within the initial window. ADT also may terminate the agreement to accept a superior proposal, subject to the agreement’s terms.
