Stellar Pilot Sets Private-Fund Buying Discounts by Pool Liquidity

The pool varies its purchase discount as its liquid share changes, while cash withdrawals by its investors can be delayed or limited if liquid assets are depleted.

Pontoro and Archax announced a Stellar-based pilot that varies discounts on private-fund purchases with pool liquidity, managing buying terms without guaranteeing investors an exit.

The firms announced the pilot at Meridian 2026 in Lisbon on Wednesday, Oct. 28. The Automated Liquidity Pool has two sleeves: one for money-market and similar cash-like holdings, the other for private-market fund interests. Only selected investors can participate under the offering and subscription documents.

Private-fund investors may offer interests for the pool to buy, subject to available liquidity and the manager’s discretion. The pool’s purchase terms move with its liquid position: when liquid holdings make up a smaller share, the required discount grows; when liquidity rises, the discount narrows. The valuation of the underlying assets remains separate from the price assigned to liquidity.

Cash withdrawals by pool investors come first from its liquid holdings. If that reserve cannot meet requests, the offering documents permit delays, partial payouts or a suspension. The purchase discount does not determine what pool investors receive when they seek to withdraw.

Archax issues each interest as a permissioned token on Stellar. Wallet holders must be approved and identity-verified, and the interests face transfer restrictions; no secondary market exists. Control over investment strategy, asset selection, valuations and governance stays with the fund manager. The Stellar Development Foundation is an investor in both Pontoro and Archax.

The token form creates an onchain record for an interest in a managed portfolio, but does not ensure another buyer is available or that withdrawal requests can be paid immediately.

Pontoro CEO and co-founder Antonio Vitti said, “A market also needs capital, a price, and a mechanism for managing that capital as conditions change.”

The Oct. 13 Form D for Pontoro Stellar ALP, LP, set a $200,000 minimum investment for an outside investor. It listed $0 sold and zero investors, with the first-sale field set to “yet to occur.” The filing predates the pilot and offers no evidence of subscriptions or other activity afterward.

The pool’s size, specific holdings, subscription volume, redemption outcomes and performance under heavy withdrawal demand have not been disclosed.
