Anthropic’s proposed IPO filing warns that code from its AI tools could reproduce open-source software, creating license obligations that may require disclosure or licensing of proprietary code.

The Oct. 26 Form S-1 proposes listing Anthropic’s Class A common stock on the Nasdaq Global Select Market under the ticker ANT. The preliminary prospectus leaves the number of shares and offering price blank. It says the shares cannot be sold until the registration statement takes effect.

Anthropic’s use of tools such as Claude Code could lead AI-generated code to incorporate or reproduce open-source software. Depending on the applicable licenses, that could require Anthropic to disclose or license proprietary source code. If a third party alleges that the company failed to comply with an open-source license, Anthropic could face legal expenses or need to reengineer software. The filing describes potential exposure, not liability already incurred.

Anthropic also warns that sufficiently advanced AI systems could pose catastrophic or existential risks if they are developed, deployed or operated without appropriate safeguards, oversight and security. The risks it lists include misuse, weaponization, replication, high autonomy, resistance to shutdown, concealment and manipulation. An earlier story examined the filing’s warning about catastrophic AI losses and insurance capacity.

On Oct. 29, Felix Martin said AI could decompile and reverse-engineer proprietary software and might “clone almost any existing software.”

The filing addresses open-source code and possible license obligations, while potential reproduction of closed-source products concerns a separate business risk. The prospectus does not set an offering price or share count, and the proposed shares cannot be sold before the registration statement becomes effective.
