Eagle Pharmaceuticals, Inc. extended its stockholder rights plan for one year, keeping its ownership threshold at 10% for most holders and 15% for certain passive institutional investors. The extension took effect Friday, Oct. 30, and the plan is scheduled to expire Oct. 30, 2027, unless the company redeems or exchanges the rights earlier.

Rights may become exercisable if a person or group acquires beneficial ownership of at least 10% of Eagle’s outstanding common stock, or makes a tender or exchange offer to acquire that level of ownership. Passive institutional investors covered by the plan face a 15% trigger. Beneficial ownership also includes certain synthetic equity interests.

If the plan is triggered, each right held by someone other than the acquiring person allows its holder to pay $20 for additional common shares with a market value of $40. Rights held by the acquiring person become void.

Eagle cited what it described as significant dislocation in its stock’s trading price. The board said, “The Board did not adopt the extension to the Rights Plan in response to a specific takeover threat.” The plan allows the board to engage with parties or accept an acquisition proposal if it believes doing so is in the best interests of the company and its stockholders.

The board extended the plan in 2025, moving its expiration from Oct. 30, 2025, to Oct. 30, 2026. The latest extension sets the next scheduled expiration for Oct. 30, 2027.
