Cignal AI Analysts Frame Marvell-Lumentum Talks as an Integration Play

They see the strategic case in combining Marvell's signal-processing chips with Lumentum's lasers and optical components, rather than securing more laser capacity.

Cignal AI analysts Andrew Schmitt and Scott Wilkinson framed Marvell's potential acquisition of Lumentum as a vertical-integration strategy that could link signal-processing chips with lasers and optical components. In Oct. 30 comments, they described the combination as a way to coordinate products and offer customers more complete systems.

People familiar with the discussions said Marvell is considering an all-stock acquisition of Lumentum. The companies have not announced an agreement, and the potential transaction's terms and outcome remain unresolved. TokenPost previously covered the advanced acquisition discussions.

Schmitt said the strategic case is vertical integration rather than a need for more laser capacity. Marvell has strong relationships with several laser suppliers, he said. A combination could let the companies coordinate Marvell's digital signal processors (DSPs) with Lumentum's lasers and optical components, designing the products to work together and selling more complete systems.

Lumentum makes products including 200G electro-absorption modulated lasers, optical circuit switches and high-power lasers. Schmitt said gross margins in optical components have risen from about 25% historically to nearly 50%, changing the economics of chipmakers buying optical suppliers. Integration could increase total gross profit even if the combined company's gross-margin percentage changes, he said.

The combination could also complicate Marvell's customer relationships. Many optical-module makers use Marvell's coherent DSPs. If Marvell expands into optical engines and modules, it may compete directly with some of those customers. Schmitt said Marvell would need to reassure its DSP customers and Lumentum's optical customers that their existing supply relationships would continue.

Production scale would matter alongside product design. Wilkinson said an early entrant able to make 10,000 products might lose to a later competitor capable of making 1 million. He said Lumentum has expanded its indium phosphide capacity about fourfold and has reached a scale that lets it sell to many customers. No agreement has been announced.
