Anthropic warned that employee equity tied to its planned IPO could complicate efforts to retain some longtime staff. The AI company’s public Form S-1, filed Oct. 26, says some current employees, including co-founders, hold equity or awards that will become substantially vested when the offering is completed.

The company said holdings for some early and long-serving employees may make up a significant share of their personal wealth and could influence their decision to stay. The filing does not identify how many employees hold shares above a particular value or estimate how many could become millionaires.

Most of the relevant restricted stock units require four years of service and also depend on the registration statement taking effect. Anthropic has not set the share count or price range, and the registration statement is not yet effective. The company plans to list Class A shares on the Nasdaq Global Select Market under the ticker ANT.

Separate anonymous accounts describe an interview question about how a candidate would respond if Anthropic abandoned its AI ambitions for safety reasons and its stock fell to zero. Two anonymous former employees said the question had not previously been part of the interview process. Another former employee familiar with the process said prompts were suggested rather than fully scripted. Anthropic has not confirmed the specific question.

In an Oct. 8, 2025, post, a user writing as “coaster67” described a similar interview question: “I would not be happy if the stock went to 0.” The post is a personal account, not confirmation of company policy.

Anthropic is a public benefit corporation. Its stated purpose is to develop and maintain advanced AI responsibly for humanity’s long-term benefit. The filing says directors must weigh stockholders’ financial interests against the interests of affected stakeholders and that purpose.
