Cheniere Energy, Inc. plans to offer senior notes due in 2037, with proceeds potentially supporting debt refinancing, capital expenditures and working capital, including repayment of a subsidiary’s 2027 notes.

The company has not disclosed the offering’s size, coupon, price or expected closing date. The proposed sale is subject to market and other conditions.

Potential uses of proceeds include repaying, refinancing or redeeming existing debt at Cheniere or its subsidiaries. Cheniere specifically named Cheniere Corpus Christi Holdings’ 5.125% senior secured notes due in 2027 as one possible target.

Cheniere Corpus Christi Holdings had $1.201 billion of the 2027 notes outstanding as of Sept. 30. The proposed 2037 notes would have equal payment priority with Cheniere’s existing senior notes.

The announcement is not a notice to redeem or prepay debt, and the offering is not conditioned on such a repayment.
