tZERO Sets $350 Million Valuation in SPAC Deal for 2027 NYSE American Listing

The combined company is targeting an early 2027 listing under stock ticker TZRO. FGII’s trust account could contribute up to $231 million, depending on redemptions and expenses.

tZERO plans to go public through a merger with FG Imperii Acquisition Corp. (FGII), valuing the tokenized securities platform at $350 million and targeting an early 2027 NYSE American listing.

FGII’s trust account could provide the combined company with up to $231 million. That is a maximum, not a guaranteed payment: the amount available will depend on shareholder redemptions and transaction expenses.

The $350 million amount is tZERO’s proposed valuation, while the trust-account funds would be available to the combined business. The two numbers describe separate parts of the deal.

The transaction is expected to close in early 2027, and the planned stock ticker is TZRO. tZERO CEO Alan Konevsky is expected to remain in his post after the merger.

The deal still needs approval from shareholders and regulators before the merger can close. The combined company plans to list on NYSE American with stock ticker TZRO in early 2027.
