tZERO agreed to merge with Nasdaq-listed FG Imperii Acquisition Corp. at a $350 million pre-money valuation, a deal that would take the tokenization company public on NYSE American.

The figure is an equity valuation set before new capital is counted. Up to $25 million of the valuation is contingent on tZERO meeting specified milestones and is payable only if those milestones are reached. This milestone-based portion is part of the $350 million figure, not an additional payment.

The combined company may receive up to approximately $231 million from FG Imperii’s trust account. The amount available depends on public shareholder redemptions.

The boards of tZERO and FG Imperii unanimously approved the agreement. After completion, the combined company’s shares are planned to trade on NYSE American under ticker TZRO.

tZERO is also pursuing on-chain trading and custody in addition to a public listing. ICE, the parent company of the New York Stock Exchange, previously invested in tZERO.

The transaction is expected to close in early 2027.
