The Dogecoin Foundation named ABJ Labs Inc., doing business as Dogecoin Labs, its official commercial partner after the Foundation and House of Doge mutually terminated their exclusive trademark license.

The prior license ended by mutual agreement effective Oct. 19. A replacement license gives House of Doge limited, nonexclusive rights to use Dogecoin marks for specified 21Shares products. Use for other regulated or tokenized products requires the Foundation’s written approval. The new arrangement does not grant House of Doge exclusivity or official-partner status.

House of Doge agreed to pay the Foundation $400,000 when it has sufficient funds. Payment may be made in cash, shares or a combination. House of Doge and House of Doge (U.S.) Inc. must change their corporate names and stop using labels such as “Official Corporate Arm” and “Official Commercial Partner” before Dec. 31, 2026.

In a separate agreement, House of Doge (U.S.) Inc. agreed to transfer specified Such App assets to ABJ Labs for stock valued at $4 million. The agreement bases that value on a $120 million fully diluted pre-money valuation. The assets include software, source code, domains, cloud accounts, app listings and data. The public agreement does not state a final share count.

House of Doge disclosed in an Oct. 23 filing that the transfer had not closed. Closing conditions include written lender consents, lien releases, transfer of key assets and the absence of an insolvency event. Either party may terminate if the transaction has not closed within 30 days after Oct. 19.

Dogecoin Labs was formed with the Foundation to bring MyDoge, DogeOS and Such App together.
