Merck KGaA has agreed to sell its U.S. contract drug development and manufacturing business to Lonza, expanding the Swiss company’s U.S. network and adding about 1,100 employees.

The transaction would increase Lonza’s U.S. CDMO manufacturing site count from four to nine and bring its U.S. workforce above 6,000. It has a total enterprise valuation in the low- to mid-triple-digit millions of Swiss francs.

The agreement covers operations in Carlsbad, California; Madison and Verona, Wisconsin; St. Louis, Missouri; and Indianapolis, Indiana. In St. Louis, the sale covers contract drug development and manufacturing bioconjugation operations. The business works on viral vectors, bioconjugates and drug delivery technologies.

Merck KGaA’s BioReliance Contract Testing Services is excluded from the sale. Lonza forecasts about CHF 250 million in sales from the acquired operations for full-year 2028.

The companies expect the transaction to close in mid-2027, subject to regulatory approvals and other conditions.
