Oracle shares closed down 8.76% on Nov. 2, while the company advanced a $20 billion stock-and-note financing package with final prices announced after regular trading.

Shares ended at $119.22, down $11.45 from the Oct. 30 close of $130.67. They opened at $125.88 and traded between $118.43 and $126.50.

Before trading began, Oracle filed a preliminary prospectus for a $10 billion common-stock offering that also described a separate concurrent $10 billion senior-note offering. Oracle announced pricing for the combined stock-and-note offering at 10:09 p.m. ET (03:09 UTC Nov. 3), after the market closed. The stock offering covers 86,206,897 shares at $116 each, while the notes offering totals $10 billion.

The sales are part of Oracle’s fiscal 2027-2030 investment cycle. On Oct. 28, the company set a $20 billion cap on additional capital-market fundraising through fiscal 2030, split between equity and debt and excluding debt refinancing. The plan followed a separate $20 billion equity raise completed in the first quarter of fiscal 2027.

Oracle expects capital spending to peak in fiscal 2027 and 2028, and projects positive free cash flow in the second half of fiscal 2028. Both offerings are expected to close Nov. 4, subject to closing conditions.
