Shopify Files Shelf Registration for Future Securities Offerings
The Form S-3ASR took effect upon filing Nov. 3, but sets no size or terms for a specific offering.

Shopify filed an automatic shelf registration on Nov. 3 covering potential future sales of shares, debt and other securities by the company or its securityholders. The Form S-3ASR became effective upon filing, but does not announce a specific sale.
The filing lists six eligible instruments: Class A subordinate voting and preferred shares, debt, warrants, subscription receipts and units. Shopify may offer them individually or together.
A future prospectus supplement for a specific offering will set its amount, price and other terms. The filing leaves the aggregate offering price or number of securities unspecified and gives no total dollar amount for the shelf.
A supplement for a Shopify offering will state the company’s net proceeds and proposed use of the funds. Shopify would receive no proceeds from securities sold by its securityholders. The filing establishes a framework for possible offerings; it does not say whether or when a sale will take place.
