ADT Inc. reported third-quarter 2026 revenue of $1.35 billion, up 4%, and adjusted earnings per share of $0.24, also up 4%. The home-security company withdrew its previously issued guidance.

Adjusted EBITDA fell 2% to $665 million. Adjusted free cash flow, including interest rate swaps, rose 4% to $217 million.

The results come as ADT awaits a proposed $10-per-share cash acquisition by Thrive Holdings. The companies are targeting a first-quarter 2027 closing, subject to ADT stockholder approval, U.S. antitrust clearance and other customary conditions. The proposed transaction is detailed in ADT’s agreement with Thrive.

ADT may seek competing proposals through 11:59 p.m. ET Nov. 28, with a possible 10-day extension for some bidders.
