Anthropic Commits $40 Million as Confidential Draft S-1 Keeps IPO Option Open
The company submitted a confidential draft S-1 on June 1 and has not set an offering size, share count or price.
Anthropic has committed $40 million to an AI-policy group while keeping open the possibility of a public offering through a confidential draft S-1 submission to the Securities and Exchange Commission.
The company submitted the confidential draft registration statement June 1. Any offering would depend on market conditions and SEC review, while the number of shares and offering price had not been set.
Anthropic contributed $20 million to Public First Action on Feb. 12 and another $20 million July 21. The bipartisan 501(c)(4) organization focuses on public education, AI safeguards and U.S. leadership in artificial intelligence.
Anthropic said both contributions were restricted to Public First Action’s public-education and policy mission and could not be used to influence candidate elections.
“Both of our donations were made exclusively to support Public First Action’s public education and policy mission, and cannot be used to influence the election of any candidate for federal, state, or local office,” Anthropic said.
Public First Action’s stated agenda overlaps with Anthropic’s policy priorities. Those priorities include transparency requirements for advanced AI models, a federal AI-governance framework, safeguards against high-severity risks and opposition to federal preemption of state AI laws unless stronger protections are enacted.
Anthropic also supports semiconductor export controls and targeted regulation of biological and cyber risks.
“We don’t want to sit on the sidelines while these policies are developed,” Anthropic said.
The contributions give Anthropic a direct financial stake in the broader policy debate but do not, on their own, establish a commercial purpose.
The confidential draft S-1 does not mean Anthropic has launched a public offering. The company has not disclosed an offering size, share count, price, valuation, exchange or listing timetable. Earlier market expectations surrounding an Anthropic IPO were discussed in a previous market report.
A survey conducted March 2-18 found that 71% of Americans opposed building an AI data center in their local area, including 48% who strongly opposed such construction.
