Former Anywhere Shareholders Face Dec. 8 Deadline in Compass Securities Case
Eligible shareholders received newly issued Compass shares in exchange for Anywhere securities in the Jan. 9, 2026 merger and acquisition.

Former Anywhere Real Estate Inc. shareholders who received newly issued Compass, Inc. (COMP) shares in exchange for their Anywhere securities must ask the court by Dec. 8, 2026, to serve as lead plaintiff in a securities class action.
The case concerns Compass’ Jan. 9, 2026, stock-for-stock merger and acquisition of Anywhere. It covers shareholders who acquired Compass shares directly through the transaction under the related registration statement.
A lawsuit has already been filed. The complaint alleges that the merger materials and related communications misstated or omitted information about efforts to obtain regulatory approvals, comply with applicable laws, and maintain required licenses and permits.
The complaint also alleges that the defendants hired a lobbyist, lawyer and ally of President Donald Trump to gain access to senior Department of Justice officials and bypass the standard merger-review process. The filing further alleges that those actions conflicted with the defendants’ stated efforts to obtain regulatory approval and comply with applicable laws.
The court has not certified a class. Until certification, eligible shareholders may ask to lead the case, remain absent class members without taking action, or take no action at this stage. An investor’s ability to participate in any future recovery does not depend on serving as lead plaintiff.
The deadline to ask the court for lead-plaintiff status is Dec. 8, 2026.
