CFTC Says Cash Bitcoin Buys May Face Futures Rules Without Borrowing

The agency’s preliminary view turns on whether financing was offered for the trade and whether an actual-delivery exception applies. Comments are due Dec. 14.

A cash Bitcoin (BTC) purchase may fall under the Commodity Futures Trading Commission (CFTC) futures framework if a financing offer applied, even when the buyer pays in full.

The agency’s Oct. 13 notice says an offer could cover transactions available through an account or product class. Declining to borrow would not alone remove a purchase from the framework if the offer applied to it. The CFTC’s reading is preliminary and open to comment.

An actual-delivery exception may apply when a sale results in delivery within 28 days, or a longer period the CFTC sets. For crypto, the notice points to meaningful control, potentially through access to private keys; an entry on an exchange’s internal ledger alone would not qualify.

The notice is an advance notice of proposed rulemaking, not a final rule. Comments are due Dec. 14 as the agency considers how the Commodity Exchange Act applies to retail crypto transactions. It does not determine how any particular exchange’s financing offer or custody arrangement will be treated.
