Nasdaq has closed Celularity Inc.’s final disclosed listing-compliance matter, confirming the company met its periodic reporting obligation after an Oct. 20 filing for the quarter ended June 30, 2026.

The determination addressed Nasdaq Listing Rule 5250(c)(1), which requires companies listed on the exchange to submit periodic reports to the Securities and Exchange Commission on time.

Nasdaq notified Celularity on Aug. 21 that it was out of compliance after missing reports for the quarters ended March 31 and June 30. Celularity filed the March-quarter report on Sept. 29 and the June-quarter report on Oct. 20.

The reporting matter was the last of three disclosed Nasdaq deficiencies. The exchange closed the other two, involving minimum bid price and minimum market value, on Sept. 11.

Celularity Chairman and CEO Robert J. Hariri took responsibility for the repeated delays, saying, “We have repeatedly fallen short of our obligation to provide timely financial reporting, and I take responsibility for that.” Celularity began a process to overhaul its finance organization.

Board Director Philip A. Barach said, “The Board is working with Dr. Hariri to identify experienced finance professionals who can carry that work forward.”
