Aave Labs Proposes Cayman Foundation for Aave IP

Phase 1 would cover forming the entity and appointing its initial independent directors and supervisor. Transferring trademarks, domains and code-related intellectual property would require later governance proposals.

Aave Labs has proposed a Cayman Islands foundation company for Aave Protocol, with the first phase limited to establishing the entity and its governance rather than transferring intellectual property.

The proposed Aave Foundation would have no members. Its purpose would be to hold, protect and license intellectual property for Aave Protocol.

Phase 1 would cover registration, legal work and reasonable costs for appointing the foundation’s initial independent directors, the supervisor and a secretary. It includes no recurring budget; any future funding would require a separate proposal.

Transfers of Aave trademarks, domains and code-related intellectual property, as well as any operational role for the foundation, are reserved for later stages. Each would require a separate governance submission.

Aave Labs, DAO service providers and their affiliates could not appoint or serve as directors or the supervisor. After the initial appointments, directors could be appointed or removed only through an Aave Improvement Proposal.

If the proposal reaches community consensus, it would go to a Snapshot vote. An Aave Improvement Proposal would then authorize the costs before the foundation is registered and its initial appointments are made in the Cayman Islands.
