GameStop (NYSE: GME) shares tumbled on Monday after the video game retailer unveiled a $1.4 billion debt-for-equity exchange, raising concerns about shareholder dilution despite improving its balance sheet. The stock plunged as much as 13% intraday to around $19.05, its lowest level since August 2024, as investors reacted negatively to the issuance of new common shares.

Under private agreements with holders of its zero-percent convertible senior notes due in 2030 and 2032, GameStop will exchange approximately $400 million in 2030 notes and $1 billion in 2032 notes for newly issued common stock. The company will not receive any cash from the transaction. Instead, the exchanged notes will be canceled, reducing its long-term debt by roughly $1.4 billion.

The deal, expected to close around September 23, remains subject to customary closing conditions. After completion, GameStop will still have about $1.1 billion in 2030 notes and $1.7 billion in 2032 notes outstanding.

While the transaction strengthens GameStop’s balance sheet by lowering debt without using cash, investors remain worried that issuing additional shares will dilute existing shareholders’ ownership. Those concerns overshadowed the financial benefits of the restructuring.

Market sentiment has also been weighed down by GameStop’s reported interest in acquiring eBay. The online marketplace rejected the alleged $56 billion proposal, calling it neither credible nor attractive. Investors have questioned how GameStop could fund such a massive acquisition, even after regulatory filings revealed the company owns a 9.8% stake in eBay, equivalent to roughly 43.4 million shares.

From a technical perspective, GameStop stock remains under pressure after falling below the key $20 level. Immediate support sits near $18.70, followed by $18.50 and the psychological $18.00 mark if selling continues. On the upside, a rebound above $19.00 could lead to resistance at $20.00 and $20.30, while a sustained breakout may open the path toward $21.72 and $22.00. Until investors gain more clarity on the company's financing strategy and acquisition plans, GME shares are likely to remain volatile.
