SpaceX Offering Documents Cite AI Compute as Potential Use of Proceeds

A reported $40 billion debt plan could include $10 billion in bank loans and $30 billion in investment-grade debt, with a possible closing in 2027.

SpaceX is reportedly weighing about $40 billion in financing to buy Nvidia chips and expand its artificial-intelligence computing operations, a plan that could add substantial borrowing to the company’s existing capital strategy.

The proposed package could include roughly $10 billion in bank loans and $30 billion in investment-grade debt. Apollo Global Management was reportedly involved in arranging the financing, which could close in 2027.

The plan remains unconfirmed, and its size, structure and timing could change. The proposed borrowing could provide an additional source of capital for SpaceX’s AI efforts while increasing the company’s leverage.

The financing would come separately from SpaceX’s June 2026 public offering. The offering priced shares at $135 per share, with trading under the Nasdaq ticker SPCX scheduled to begin June 12, 2026.

SpaceX’s offering disclosure identified the expansion of AI compute infrastructure as one potential use of proceeds, alongside launch infrastructure, launch vehicles and satellite constellations. The proposed debt raise would therefore represent an additional financing effort rather than the company’s original public offering.

The proposal does not specify interest rates, maturities, covenants, collateral, lender commitments or the number of Nvidia chips involved. Investor attention has also focused on SpaceX’s AI ambitions, including its planned data-center business, as discussed in earlier coverage of the company’s AI strategy.
