MongoDB CFO Michael Berry Gets 27,211 RSUs in $10 Million Retention Award
The units are scheduled to vest through April 2028, subject to continued service and certain separation terms.

MongoDB’s compensation committee approved a one-time retention award for Chief Financial Officer Michael Berry, valued at $10 million and comprising 27,211 restricted stock units. Each unit represents a contingent right to receive one share of MongoDB common stock.
The $10 million figure is the award’s grant value. MongoDB calculated the unit count using volume-weighted average prices across 30 trading sessions from Aug. 28 through Oct. 9, then rounded the result up to a whole share.
The units are scheduled to vest in three installments: 33% on April 1, 2027, another 33% on Oct. 1, 2027, and the remaining 34% on April 1, 2028. Berry must remain with MongoDB through each vesting date for the scheduled installments to take effect.
All of the units can vest earlier if MongoDB ends Berry’s service without cause or he leaves for good reason. That accelerated vesting is conditional on Berry signing a release of claims and not revoking it.
The committee approved the award Oct. 12, and Berry signed the retention agreement on Oct. 14. MongoDB plans to include the agreement with its Form 10-Q for the quarter ending Oct. 31, 2026.
The award comes amid a leadership change at MongoDB. The company also disclosed a separate restricted stock unit award with a $15 million grant value for interim CEO Dev Ittycheria. The board appointed Ittycheria to the interim role effective Sept. 28, the day President and CEO Chirantan “CJ” Desai’s resignation took effect, continuing a leadership transition previously covered by TokenPost.
