A possible Tesla-SpaceX combination could bring shared assets and a simpler structure while raising concerns about shareholder dilution and how Tesla cash might be used.

Analysts see potential benefits in bringing the companies’ assets together, creating operating synergies and simplifying the corporate structure. They also said a combined company could gain access to more capital.

The concerns center on cash use and shareholder dilution. Tesla investors could face dilution, and Tesla cash could be used to fund riskier SpaceX ventures, including AI. Analysts also warned that shareholders could help fund riskier SpaceX ventures.

Analysts questioned whether a combined company’s valuation would be supported by established revenue streams. Greater access to capital would not by itself resolve that concern. The debate therefore raises questions about both the revenue behind the combined company’s value and how Tesla resources might be used.

Earlier coverage tracked market odds for a Tesla-SpaceX deal before March 2027.
