Anthropic Files S-1, Details Five Share Classes and Voting Rights
Customers contributing at least $100,000 in the year through Sept. 30 included more than half of the Fortune Global 500; the filing also details an October 2025 share buyback.

Anthropic, which identifies itself as a public-benefit corporation, filed a Form S-1 on Oct. 26, outlining five share classes and voting rights as it advances a planned public offering.
The filing lists Class A, Class N, Class T, Class F and Class E. Class A and Class N are common stock: Class A shares carry one vote each, while Class N shares have no voting rights. Class T is a special share class held by T directors.
Anthropic also disclosed that it repurchased about 4.5 million Series B shares in October 2025.
Customer figures in the filing cover companies that contributed at least $100,000 in revenue to Anthropic during the 12 months through Sept. 30. That group included more than half of the Fortune Global 500, more than 30% of the Global 2000 and all of the top 10 companies in Fortune's global ranking.
Earlier IPO plans called for seven co-founders to hold 50.1% of voting rights.
