Anthropic’s public S-1, filed Oct. 26, outlines staggered post-IPO resale windows that would let some nonfounder insiders sell part of their locked-up shares early, while founders and large holders face restrictions lasting up to 365 days.

Certain nonfounder directors and officers, along with eligible current and former employees and consultants, could sell up to 10% of their locked-up shares when trading begins. Another 35% would become eligible after the second full trading day following publication of full-year 2026 results. The remaining shares in that group would become eligible on the second full trading day after first-quarter 2027 results or 180 days after the IPO, whichever comes first.

Anthropic’s seven co-founders have a separate timetable. They could sell up to 29% of their locked-up shares after 180 days from the IPO or the second full trading day after first-quarter 2027 results, whichever comes first. Restrictions on remaining holdings for the co-founders and holders of more than 0.5% of fully diluted shares would end after the second full trading day following third-quarter 2027 results or 365 days after the IPO, whichever comes first.

The schedule creates several possible dates for additional shares to become eligible for resale instead of one release date for all pre-IPO holders. Results-based triggers depend on full trading sessions after results are published, while the alternatives are measured in days after the IPO. Eligibility does not establish that a holder will sell. IPO lockups commonly last 180 days, though underwriters may end them earlier.

The proposed offering also includes shares sold by Anthropic and existing stockholders. Anthropic would receive no proceeds from stockholders’ sales; those proceeds would go to the sellers. These offering transactions are separate from later resale eligibility under the lockup schedule.

The registration statement is not yet effective, so the securities cannot be sold under it. Anthropic has not set a listing date, offering share count or price range. The S-1 also details five share classes and their voting rights.
