Anthropic Filing Implies About $71.43 Per Share for Donation Match
The estimate divides a rounded third-quarter expense by about 28 million Class N shares; the proposed IPO price remains unset.

Anthropic’s public IPO filing yields an accounting-based estimate of about $71.43 per Class N share used for employee donation matching, while leaving the proposed public offering’s price and size unsettled.
The company recorded $2 billion in other operating and administrative expenses in the third quarter of 2026 for the initial recognition and fair-value changes of its obligation to match employee donations made in August. Anthropic issued about 28 million Class N shares in October to settle that obligation.
Dividing $2 billion by 28 million produces approximately $71.43 per share. Both figures are rounded, so the result is approximate. It is a calculation from the matching obligation, not a share price Anthropic disclosed or the price for its proposed IPO. The expense covers the obligation’s initial recognition and changes in fair value, rather than a disclosed per-share payment.
Anthropic’s share and per-share figures reflect a 10-for-one stock split that took effect Sept. 17, 2026. The liability will be remeasured at fair value through the settlement date in the fourth quarter, so the calculation does not establish the final settlement value.
The estimate also should not be read as a single fixed match value for every employee. The plan provides one non-voting share for each donated-share equivalent for non-Legacy Employees and three for Legacy Employees. It gives the plan’s Administrator authority to determine fair market value in good faith.
The calculation concerns Class N shares issued for donation matching; the planned IPO would involve Class A common stock. Anthropic had not determined how many Class A shares it would offer or set a price range. Its registration statement was not yet effective, so the securities could not be sold before it takes effect.
The public filing adds detail to earlier coverage of employee share values under Anthropic’s confidential IPO draft.
