Beam Global Ends ScoutDI Deal After Nov. 4 Closing Deadline Passes
The canceled acquisition had a $24 million base price, with 90% in cash and 10% in Beam shares.

Beam Global terminated its planned purchase of Norwegian drone company ScoutDI after the deal failed to close by Nov. 4, 2026, citing unfavorable U.S. public-market conditions.
The deal’s $24 million base price called for 90% cash and 10% Beam shares. Sellers could choose additional shares instead of cash, subject to a Nasdaq limit. The terms also set aside 15% of the base price in escrow for 18 months.
A separate earn-out tied to ScoutDI’s 2026 revenue provided for no payment below $3.5 million in revenue, a target payout of $2.4 million and a maximum of $3.8 million if revenue reached $4.5 million.
ScoutDI’s industrial drone inspection and software business serves oil and gas and maritime customers. The acquisition was intended to broaden Beam’s infrastructure business. The previously announced agreement set Nov. 4 as the deadline to complete the transaction unless both sides agreed to extend it.
