The Federal Trade Commission (FTC) issued Second Requests to Curium US Holdings LLC and Lantheus Holdings on Oct. 21, extending the Hart-Scott-Rodino waiting period for Curium’s proposed purchase of Lantheus.

Both companies received Second Requests on Oct. 21. The Hart-Scott-Rodino waiting period remains in effect until 30 days after both firms have substantially complied with their requests, unless the FTC ends the pause sooner.

Under an Aug. 3 merger agreement, Curium would pay $102.50 in cash for each Lantheus share. If the deal closes, shareholders would receive a contingent value right for each share that could pay up to $12 if commercial milestones are met, bringing maximum consideration to $114.50 per share. The announced total deal value is about $8 billion.

The merger plan calls for Coco Merger Sub Inc., a Curium subsidiary, to merge into Lantheus. Lantheus would become a wholly owned Curium subsidiary, subject to the end of the waiting period and other deal conditions.

Lantheus and Curium expect to respond promptly and continue to target a closing in the first half of 2027.
